Backing the Innovators Reshaping the World

Berto Acquisition Corp. I & II

Berto Acquisition Corp. I & II (NASDAQ: TACO; GUAC) are premier Special Purpose Acquisition Companies (SPAC) focused on identifying and executing business combinations with high-growth, transformative companies. Backed by a team of seasoned executives and financial veterans, Berto is uniquely positioned to unlock shareholder value through strategic investments and operational excellence.

Who We Are

Berto is led by experienced industry executives with a proven track record of success across Fortune 500 companies and marquee M&A transactions. Our leadership includes former C-level executives/Board members from Oracle, Accenture, Broadcom, and EMC—individuals who have collectively raised hundreds of billions in capital and played key roles in landmark deals.

A distinguished board of directors supports us with decades of experience in financial services, accounting policy, communications, and strategic operations. Together, we offer a rare blend of capital markets expertise and operational leadership.

Our Mission

To deliver long-term value by partnering with innovative businesses across technology, data analytics, artificial intelligence, wellness, and other emerging sectors. We are dedicated to building and scaling companies that are redefining their industries, and creating measurable impact.

Our Purpose

With the foundation of driving the best investment returns for our partners and shareholders, we have strived to find companies that will be outstanding public companies but may be somewhat early relative to executing a traditional IPO. We look for outstanding management teams that can be further galvanized by access to public capital to bring on board additional talent, implement an acquisition strategy and provide customers in business and government with the confidence and transparency that come with being an NYSE- or NASDAQ-listed public company. We get most excited by a company that has all the traditional business advantages of rapid growth, unique intellectual property and barriers relative to too many competitors, with an overarching social potential to improve the trajectory of real progress.

Our transactions tell that story best — three generations of companies we’ve taken public, spanning government, regulated consumer markets, water, and the frontier of computing itself.

  • Making the entire planet observable — every day, for everyone who needs to see it. Planet Labs (dMY IV) is the only company imaging 100% of Earth’s land and sea mass, every single day — turning a live feed of the whole planet into something a scientist, a general, or a farmer can actually use. That capability now catches deforestation while it can still be stopped, flags crop stress before a harvest is lost, guides disaster response in the first chaotic hours after a hurricane or wildfire, and gives governments an independent, unblinking eye on activity the world used to miss entirely. We took Planet public through a bear market, when capital was hardest to find, and the mission mattered most.
  • Proving quantum computing didn’t need to wait for government funding. Taking IonQ public in 2021 made it the world’s first pure-play public quantum computing company — and proved, for the first time, that private markets would bet real money on a technology that had survived almost entirely on government grants. That single transaction didn’t just fund one company; it created an entire publicly listed quantum sector. In 2026 we went back in with Horizon Quantum, this time funding the software layer that turns raw quantum hardware into something a developer can actually build on.
  • Expanding access to fresh water — one of the oldest problems on Earth, with a genuinely new tool. Rain Enhancement Technologies, brought public in 2025 through the Coliseum Acquisition Corp. takeover, is developing ionization-based rainfall generation aimed straight at water scarcity — at its source, not its symptoms. This is early-stage, high-conviction work, the kind that needs the legitimacy of a public listing just to get state and local governments to the table and take the idea seriously.
  • Building trust into markets that ran on shadows. Rush Street Interactive and Genius Sports (dMY I & II) built the compliant infrastructure that turned iGaming and sports betting from a gray market into a regulated, taxed, consumer-protected industry — swapping scraped, unofficial data feeds for official league data and building integrity monitoring directly into the ecosystem, not bolted on after the fact.
  • Modernizing how government serves people. GTY Technology Holdings (2016–2022) built the cloud software platform that brought procurement, payments, grants, permitting, and budgeting for state and local governments into the modern era — years before “govtech” was even a recognized investor category. GI Partners’ acquisition of the company in 2022, at a 123% premium to public shareholders, was the market’s verdict on the bet.

We measure success in two ways. For investors: entry valuations at a discount to public comparables, oversubscribed PIPEs, low redemptions, and companies that beat their own guidance. For the world: technologies that would have arrived later, smaller, or not at all without a public platform behind them. We don’t see those as competing goals. Companies solving real problems in large markets — priced with discipline and backed with genuine operating help — are how strong returns and real-world outcomes get produced by the same transaction.

Our Edge

  • Proprietary Deal Flow: Access to exclusive, high-quality targets through our extensive network of CEOs, venture capitalists, financial sponsors, and global enterprises.
  • All-Weather Investment Strategy: We excel in both bull and bear markets by targeting sub-$1B enterprise value opportunities that combine quality, growth, and profitability.
  • Berto Operating System: Our value-add model supports portfolio companies with capital structure optimization, go-to-market strategy, governance enhancements, and earnings communications—accelerating growth and market credibility.

Our Track Record

Since 2020, members of the Berto leadership team, including in partnership with dMY Technology, have participated in SPAC business combinations with an aggregate announced transaction value of approximately $7.6 billion in business combinations with industry leaders across sectors like quantum computing, online gaming, satellite data, and sports technology—consistently beating guidance and minimizing redemptions.
